Explain the FCN Structure in One Minute
For first-time structured-note clients: explain how returns work, what matters, and the downside before discussing specific terms.
1
How Do Returns Work?
You effectively exchange your willingness to bear a decline in the share price for an agreed coupon. If the share price is stable or rises, the coupon is generally paid according to the terms. The coupon does not protect principal and is not bank-deposit interest.
2
What Matters Most?
Three things: time to maturity, the price level that can trigger share delivery or principal loss, and whether early termination is possible. Observation dates are governed by the term sheet.
3
What Is the Downside?
If the underlying falls sharply and triggers the terms, you may have to take delivery or bear principal losses. Coupon income often cannot offset an extreme decline. Risk and suitability checks must come first.
